Selling, buying or bringing in an investor? Know the tax before you sign.

Changing who owns a company or property can trigger tax: on the gain, on the transfer, and sometimes on old tax problems the new owner inherits. We show you the tax cost of each option before you commit.

Licensed Tax Agent (TARC) Individuals, businesses & NGOs Since 2012 · 75+ clients
Who this is for
  • Owners selling a business or shares
  • Companies bringing in a new investor
  • Buyers who want to know what tax problems come with the company
  • Families handing a business or property to the next generation
  • Owners moving property into or out of a company
The problem

The structure of the deal decides the tax.

The same deal can be done in different ways: sell the shares or the assets, pay now or in stages, move property before or after. Each way can carry a different tax bill, and some only show up years later.

Buyers face a second risk. A company keeps its tax history when it changes hands, including unfiled returns, open assessments and unpaid PAYE or withholding tax. Unless the agreement deals with it, the new owner inherits it.

FAQs: Pre-Transaction Review

Before the price and structure are agreed. After signing, the options shrink.

Possibly a large one. When 50% or more of a Ugandan company changes hands within 3 years, directly or through a holding company abroad, the company is treated as having sold all its assets at market value and pays tax on the gain, with no cash from the deal. The trigger is registration of the change at URSB, and the value is worked out asset by asset (Kuku Foods v URA, 2026). We cost it before you sign.
